PALM OUTSOURCING LTD TERMS OF SERVICE
These Terms apply between PALM OUTSOURCING LTD, a company incorporated and registered in England and Wales with registered number 15350752 whose registered address is at 41 Thurleigh Court, Nightingale Lane, London, England, SW12 8AP (the Service Provider) and the business entity completing an Assignment Confirmation order form to engage with Palm Outsourcing Ltd's services ('the Client').
AGREED TERMS
1. Interpretation
The following definitions and rules of interpretation apply in these Terms.
1.1 Definitions
- Assignment: has the meaning given in clause 3.1.
- Assignment Confirmation: has the meaning given in clause 3.3.
- Business Day: a day other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.
- Commencement Date: has the meaning given in clause 4.1.
- Conduct Regulations 2003: the Conduct of Employment Agencies and Employment Business Regulations 2003 (SI 2003/3319).
- Engage: the employment of a Resource or engagement directly or indirectly through any employment business other than through the Service Provider (whether for a definite or indefinite period) as a direct result of any Introduction or Assignment to the Client and the terms Engaged or Engagement shall be construed accordingly.
- Extended Assignment: means a written agreement by both parties to extend the Assignment for at least twelve (12) additional months under the same or mutually agreed terms.
- Fixed Term: the fixed term period stated in the Assignment Confirmation.
- Group: in relation to a company, that company, any subsidiary or holding company from time to time of that company, and any subsidiary from time to time of a holding company of that company, each as defined in clause 1.2.3.
- Initial Term: the initial term period stated in the Assignment Confirmation.
- Introduce: the provision by the Service Provider of any information relating to the Resource and Introduction and Introduced shall be construed accordingly.
- Person: an individual worker, or a worker who supplies their services through a company or other legal entity, as the case may be but excluding any individual who supplies their services through an intermediary falling within one of conditions A to C in section 61N of the Income Tax (Earnings and Pensions) Act 2003.
- Relevant Period: has the meaning given in regulation 10(5) and (6) of the Conduct Regulations 2003.
- Restricted Person: any firm, company or person employed or engaged by the Service Provider or any member of its Group during the term of these Terms who has been engaged in the provision of the Services or the management of these Terms either as principal, agent, employee, independent contractor or in any other form of employment or engagement.
